			<content:encoded><![CDATA[<p>Looking for a Payroll / Stock Administrator to join our team in our San Francisco headquarters. The ideal candidate will be accountable for the administration of the company&#8217;s (410(k), ESPP, and Employee Stock Option Programs as well as administering the Payroll/HRIS Systems (e.g., Trinet, iemployee, Ceridian and management reporting.).  In addition, this role will also serve as the primary point of contact with Trinet for payroll and benefit administration and reporting. This role will also provide general human resource administrative support for employment as well as other activities.</p>
<p>Responsibilities Include:</p>
<ul>
<li>For maintaining in-house Payroll/HR databases records and reporting tools (i.e., iemployee, Ceridian and Equity Edge) </li>
<li>Develops and distributes customized and standard reports to meet the needs of management. </li>
<li>Act as liaison with IT </li>
<li>Monitors the Payroll/HRIS system and all interfaces, provides assessment of the current systems. </li>
<li>Produce routine management reports as well as creation of custom reports as needed. </li>
<li>Communicate and administer the 401(k) program including managing the broker relationships and ensuring accurate reporting and timely payments. </li>
<li>Administer the Employee Stock Option Program and the Employee Stock Purchase Plans, including employee enrollments, questions, exercises and reporting. </li>
<li>Primary liaison with Trinet regarding payroll and benefit issues. </li>
<li>Audit biweekly Trinet payroll processing and investigate discrepancies, provide information on non-routine situations (bonus, commission, terminations, new hires, etc.), and reconcile monthly Trinet bills. </li>
<li>Upload iemployee PTO biweekly and upload/report biweekly non-exempt employee hours/overtime hours. </li>
<li>Work with finance to capture project time tracking data from iemployee. </li>
<li>Perform biweekly upload to general ledger. </li>
<li>Assist in the education of employees on the use of Trinet. Answer general benefit and employment questions as well as process employee&#8217;s status changes. </li>
<li>Enroll new employees into the Trinet system and ensure coordination of new employee orientation, benefits enrollment, etc. </li>
<li>Develop strong internal controls over the flow of information from Human Resources, any other source providers and all internal systems. </li>
<li>Partner with various departments as well as auditors to implement all necessary controls, processes and procedures. </li>
<li>Participate fully in any Sarbanes-Oxley related compliance projects. </li>
<li>Own all month end close procedures for payroll related activities including relevant account reconciliations and/or supporting documentation.</li>
</ul>
<p>Knowledge/Skills:</p>
<ul>
<li>Strong analytical an d computer systems skills </li>
<li>Solid communication and interpersonal skills </li>
<li>Working knowledge of state and federal laws pertaining to employment and payroll </li>
<li>Proficiency with Excel, Payroll/HRIS and report writing query tools </li>
<li>Equity Edge experience required</li>
</ul>
<p>Experience:</p>
<ul>
<li>Seven to ten years of payroll, benefits and HRIS administration </li>
<li>Employee relations experience. </li>

<p><strong>About the Speaker:</strong></p>
<p>Corey Rosen is the executive director and cofounder of the NCEO. He received a Ph.D. in politics from Cornell University in 1973, taught politics at Ripon College, and worked as a professional staff member in the U.S. Senate, where he helped draft some of the legislation governing employee ownership.</p>
<p>Mr. Rosen cofounded the NCEO in 1981. He has coauthored five books on employee ownership and written over 100 articles on the subject for business, professional, and trade publications. He has spoken at meetings all over the U.S., as well as in Europe, Asia, and South America.</p>

<p>Primary Responsibilities:<br />
Summary:</p>
<p>Bring your great attitude, attention to detail, organizational and process skills along with your ability to learn quickly and join Intuit&#8217;s Stock Administration team.</p>
<p>This position supports the administration, accounting, and financial reporting of Intuit&#8217;s stock options and restricted stock units by documenting and recording data efficiently and accurately, working with HR, Payroll, Accounting, Corporate Tax on option/RSU reports and providing instructions and information to employees.</p>
<p>Duties:</p>
<p>* Data maintenance: Import or enter employee, grant, exercise, and release data; set up new employee records and record employee terminations; conduct audits of stock administration system records against HR&#8217;s data.<br />
* Grant process: prepare consents for executive approval of grants; prepare option and RSU agreements and deliver agreements electronically; prepare SOX reconciliation of monthly grants.<br />
* Exercise/Release processes: record exercises in system of record; apply correct tax withholding and reconcile figures, prepare payroll and accounting reports, maintain share issuance and receivables logs, mail confirmations; prepare website data files and transmit to broker; interact with broker personnel, Payroll, accounting.<br />
* Support HR, Corporate Tax, and other departments as needed by preparing detailed reports regarding option/RSU status etc.<br />
* Provide assistance to employees by sending out periodic notices of new grants and expiring options and by responding to all questions regarding stock options and RSUs.<br />
* Prepare periodic accounting reports of equity plan activity.<br />
* Update records supporting Intuit&#8217;s FAS 123R valuation process for options and RSUs.<br />
* Act as preparer or reviewer on SOX controls pertaining to equity.<br />
* This position works with the Human Resources, Payroll, Accounting, and Corporate Tax Depts. as well as with the general employee population and brokerage offices.</p>
<p>Qualifications:<br />
Skills Required:<br />
* MS Excel and MS Word (merge function), MS Outlook. Knowledge of MS Access and Equity Edge a definite plus.<br />
* Understanding of broker operations, stock options, restricted stock units also a plus.<br />
* Must be comfortable with reconciling numbers and communicating with employees both via email and phone.<br />
* Must be able to learn and execute detailed processes.<br />
* The Stock Analyst position requires a general understanding of equity plans, stock options and restricted stock units.<br />
* Stays well informed of developments in the profession and uses this information to identify and recommend changes to &#8220;best practices&#8221; within the department.&#8221;<br />

			<content:encoded><![CDATA[<p><strong>Meeting Topic:</strong>  The Reprice is Right! Ways to Make Your Underwater Options Come On Down!</p>
<p>With a fun, interactive game show format and theme, this panel of experts will explain why repricing may be become more common, review some statistics about current repricings, provide an overview of value-neutral exchange and how to do the calculations, review tender offer concerns &amp; shareholder approval issues, cover SEC reporting, describe ISO limitation calculations for repriced grants, and discuss accounting ramifications (modification accounting). The panel will include an accounting and valuation expert, a lawyer specializing in equity compensation issues, an equity compensation consultant, and an issuing firm that has recently been through a repricing.</p>
<p><strong>Speakers:</strong></p>
<p><em>Elizabeth Dodge, CEP, VP Product Management, Stock &amp; Option Solutions<br />
</em>Elizabeth&#8217;s responsibilities include monitoring new developments in the equity compensation arena, performing market research, speaking at industry events and helping to define the product roadmap for SOS.Elizabeth has been designing and product managing financial software for the past 14 years, ten of those for equity compensation applications. Prior to product management, her software experience was in designing, testing, and supporting financial software applications.Elizabeth regularly speaks on industry trends and product development at client and industry events including NASPP and SOS webcasts, GEO and NASPP Chapter meetings, User Groups, and the NASPP Annual Conference. She became a Certified Equity Professional in 1999 and continues to volunteer for the Certified Equity Professional Institute. She is also Asst. Secretary of the Silicon Valley Chapter of the NASPP.</p>
<p><em>Jon Burg, VP, JPMorgan Compensation &amp; Benefits Strategies<br />
</em>Jon Burg is a Fellow of the Society of Actuaries, an Enrolled Actuary, and is heavily involved in the equity compensation practice for CCA Strategies, a unit of JPMorgan. Jon has helped a number of companies work through the compliance and implementation of FAS 123R. He has been involved extensively in analyzing historical equity plan experience, performing complex valuations, and reviewing plan design. Jon has collaborated directly with audit and compensation committees to develop sound equity comp procedures and practices. He has spoken on a variety of equity compensation topics at various industry events in addition to local and national NASPP meetings.</p>
<p><em>Wendy Davis, Attorney, Cooley  Godward Kronish LLP<br />
</em>Wendy is a senior associate in the Compensation &amp; Benefits group and a member of the Cooley Godward Kronish Business department. She joined the Firm in 2006 and works in the Hanover office in Palo Alto.Wendy specializes in equity and executive compensation matters, including establishing and maintaining executive agreements, equity compensation plans, cash bonus plans, deferred compensation arrangements, and change of control agreements on behalf of executives and employers at all stages of the corporate lifecycle. Wendy&#8217;s practice addresses not only the practical design considerations of compensation programs but also the often complicated intersection of tax, employment, corporate and securities laws as well as the shareholder relations issues that arise in connection with compensation matters.</p>

</em>Wendy Jennings is Director, Employee Shareholder Services for Riverbed Technology, Inc.  Wendy has over 20 years of equity compensation plan experience.  Wendy’s experience includes responsibility for all equity plans, analysis, design and implementation, Section 16, insider trading compliance, proxy preparation, FAS 123 valuation, stock plan acquisitions, and restricted stock programs.Wendy received her CEP designation in 1993.  Wendy has served on the CEP Advisory Board since 1999, chairing the board in 2003, and serves on the CEP Curriculum Committee.  Wendy serves on the GEO Advisory Council and is a Director of the NASPP San Francisco chapter and received the NASPP Individual Achievement Award in 2005.</p>

<p>Requirements:</p>
